Terms of Service

Terms governing the Viorant website, hosted agents, and Jev service.

These Terms of Service ("Terms") govern access to and use of https://viorant.ai (the "Website"), the Jev service at https://jev.viorant.io/mcp (the "Jev Service"), and the hosted-agent functionality described in Section 2 (collectively, the "Covered Services"), each operated by Viorant Inc. ("Viorant", "we", "us", or "our"). "You" means the individual or entity accessing or using a Covered Service. If you access or use a Covered Service on behalf of an entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity.

By accessing or using a Covered Service, or by clicking to accept these Terms, you agree to be bound by them. If you do not agree, do not access or use a Covered Service.

These Terms apply only to the Covered Services. Other Viorant products, downloadable software, cloud services, and professional services are governed by separate agreements as described in Section 6.

You may use the Website for lawful purposes only.

You agree not to: (a) attempt to gain unauthorized access to the Website or any related systems; (b) interfere with or compromise the security or integrity of the Website; (c) reverse engineer, decompile, or disassemble any part of the Website; (d) use any robot, spider, scraper, crawler, or other automated means to access, scrape, or harvest content from the Website, or otherwise copy or collect Website content for the purpose of training or developing any machine learning or artificial intelligence model; (e) bypass or circumvent any access controls or rate limits; or (f) use the Website for any illegal, infringing, or harmful activity.

What a hosted agent is. When you deploy an agent to Viorant Cloud from the Viorant Hub, the Viorant web dashboard, or the vio command-line tool, we run it on infrastructure we operate on your behalf. You are responsible for the agent, what it is configured to do, the instructions and data you give it, and the services you connect it to.

Acceptable use. You must not deploy or use a hosted agent to:

  • (a) send spam, unsolicited bulk messages, or messages that impersonate another person or organization;
  • (b) scrape, crawl, or harvest data from any website or service in breach of its terms, or at a volume or rate that degrades it;
  • (c) attack, probe, scan, or overload any system or network, including ours, or attempt to access data or systems you are not authorized to access;
  • (d) mine cryptocurrency, relay or proxy third-party traffic, or run workloads unrelated to the agent's stated purpose;
  • (e) host, generate, or distribute content that is unlawful, infringes the rights of others, or exploits or harms minors;
  • (f) evade or interfere with the plan limits, rate limits, credit metering, or security controls of the service, including by creating multiple accounts to obtain additional free resources; or
  • (g) process personal data without a lawful basis, or in breach of the terms of any service you connect the agent to.

Resources and limits. Hosted agents run within the limits of your plan, including the number of agents you may deploy, how often they may run on a schedule, and the compute each run may use. Model usage through Viorant is charged in credits as described on our pricing page. We may change limits to protect the service and will describe current limits on our pricing and documentation pages.

Suspension and removal. We may, without prior notice where we reasonably believe it is necessary to prevent harm, abuse, a breach of these Terms or of law, or a risk to the service or other users: (a) stop, suspend, or remove any hosted agent; (b) revoke its credentials or its access to connected services; and (c) suspend the account that deployed it. Where it is safe and lawful to do so, we will tell you what we did and why and give you a way to respond.

Your credentials. Credentials you provide for an agent, including keys or authorizations for connected services, are stored for the agent's use and are not used by us for any other purpose. You are responsible for keeping them valid and for revoking them with the connected service if you no longer want the agent to use them.

No guarantee of availability. Hosted agents are provided "as is" and "as available." Scheduled runs may be skipped, including while a previous run is still in progress or after repeated failures, and we do not guarantee that any run will occur at a particular time.

The Jev Service provides model-generated judgments expressed as calibrated probabilities or confidence estimates. Those outputs are not guarantees, facts, or legal, financial, medical, or other professional advice. You remain responsible for reviewing the output and for decisions or actions taken in reliance on it.

The Jev Service is provided "as is" and "as available," without a service-level agreement. We may rate-limit, pause, modify, or discontinue it at any time.

Use of the Jev Service is charged in credits from your Viorant wallet, the same balance used for the rest of Viorant, at the then-current price shown on our Jev page and in our documentation. Any credits in your wallet may be used, including free credits granted at sign-up. If your balance cannot cover a request, the request is refused until you add credits. We may change the price of the Jev Service by updating those pages; a change applies to requests made after it is published.

Request content is processed transiently through Vercel AI Gateway, which routes it to TypeSafe Jev, and through the Jev Service itself, which runs on Cloudflare Workers. Viorant does not persist Jev request or response bodies. We may retain account identity, usage, allowance, billing and audit data, and one-way abuse-detection metadata needed to operate and protect the Jev Service.

Vercel, TypeSafe and Cloudflare are subprocessors for the Jev Service: Vercel routes model requests through its AI Gateway, TypeSafe operates the Jev model, and Cloudflare hosts the service. Vercel's terms are available at vercel.com/legal/terms and TypeSafe's published terms at docs.typesafe.ai/legal.md. Your use of those providers' services is also subject to applicable provider terms.

The Jev MCP implementation is a fork of jkudish/jev-mcp, used under the MIT License.

All content on the Website, including text, branding, logos, graphics, design, and documentation, is owned by Viorant Inc. or its licensors and is protected by intellectual property laws.

You may not reproduce, distribute, or modify content without our prior written permission.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Covered Services for your own informational and internal business purposes. All rights not expressly granted are reserved. "Viorant" and our logos are our trademarks and may not be used without our prior written consent.

If you send us feedback, suggestions, or ideas about the Covered Services or our products, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or obligation to you.

Website content and Jev Service outputs are provided for informational purposes only and do not constitute legal advice, financial advice, medical advice, or professional consulting.

Any reliance is at your own risk.

Viorant builds platform products and may provide custom AI system design, infrastructure implementation, and advisory or consulting services.

Except for the Covered Services described in these Terms, our products, including the Viorant Hub desktop application, the .Vio format, Trust and Sign, Helix, Viorant Cloud, and Sentinel, and any custom or advisory services (collectively, the "Other Products and Services"), are licensed and provided under separate written agreements, such as an end user license agreement or a subscription or services agreement. If there is any conflict between these Terms and a separate agreement with respect to an Other Product or Service, the separate agreement controls.

THE COVERED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE COVERED SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT CONTENT OR OUTPUTS WILL BE ACCURATE OR RELIABLE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIORANT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO YOUR USE OF A COVERED SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE COVERED SERVICES OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

The Covered Services may link to or interact with third-party websites, models, and connected services. We are not responsible for their content or practices, and your use of third-party services is at your own risk and subject to their terms.

You agree to defend, indemnify, and hold harmless Viorant Inc. and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or relating to (a) your access to or use or misuse of a Covered Service, including a hosted agent; (b) your breach of these Terms; or (c) your violation of any law or the rights of any third party. We will provide you with prompt notice of any such claim, and we reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense. You may not settle any claim in a manner that imposes any obligation on us without our prior written consent.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Subject to Section 14, you agree that the exclusive venue for any action permitted to be brought in court shall be the state and federal courts located in Delaware, and you consent to the personal jurisdiction of those courts and waive any objection to venue there.

Your use of the Covered Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

We reserve the right to suspend or terminate your access to a Covered Service at any time, without prior notice, for any reason, including violation of these Terms, conduct that we believe is harmful to other users, us, or third parties, or suspected fraudulent, abusive, or illegal activity. You may stop using a Covered Service at any time. We may modify, suspend, or discontinue a Covered Service, in whole or in part, at any time.

Upon termination, your right to use the affected Covered Service ceases immediately. Sections that by their nature should survive termination, including No Professional Advice, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, Privacy, and Dispute Resolution, will remain in effect.

Any dispute arising out of or relating to these Terms or your use of a Covered Service shall first be addressed through informal resolution by contacting us at support@viorant.ai. We will attempt to resolve the dispute within 30 days.

If informal resolution fails, any dispute shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or its Consumer Arbitration Rules where those apply. The arbitration will be conducted in Delaware, United States, and the Federal Arbitration Act governs the interpretation and enforcement of this section. Notwithstanding the foregoing, either party may bring an individual claim in small claims court if it qualifies.

You may opt out of this arbitration agreement by sending written notice to support@viorant.ai within 30 days of first accepting these Terms. If you opt out, the disputes covered by this Section will be resolved in the courts identified in Section 11.

You agree that disputes will be resolved on an individual basis. You waive any right to participate in a class action lawsuit or class-wide arbitration, and the arbitrator may not consolidate more than one person's claims or preside over any class or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim shall be severed and resolved in court, and the remainder of this Section shall continue to apply to all other claims. You and Viorant also waive any right to a jury trial.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Viorant Inc. regarding your use of the Covered Services and supersede all prior agreements, understandings, and communications, whether written or oral, except that any separate agreement governing an Other Product or Service, as described in Section 6, controls with respect to that Other Product or Service.

You must be at least 18 years of age to use a Covered Service. By accessing or using a Covered Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Viorant shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond our reasonable control, including natural disasters, acts of government, pandemics, war, terrorism, cyberattacks, power failures, or internet service disruptions.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Viorant may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

The failure of Viorant to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Any waiver of any provision of these Terms will be effective only if in writing and signed by Viorant.

We may update these Terms at any time. If we make changes, we will post the updated Terms and revise the "Last updated" date above. Where required by law, we will provide additional notice or obtain consent before the changes take effect.
